Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legally binding agreement between you and Slate Labs Ltd, a company registered in England and Wales ("Slate", "we", "us", "our").

By using Slate, you agree to these Terms. If you do not agree, you must not use the platform.

2. Definitions

  • Platform — the Slate web application and related services
  • Client — a user who funds milestones
  • Provider — a user who performs work
  • Job — an agreement between client and provider
  • Milestone — a defined unit of work with a payment amount

3. Platform role

Slate provides a platform that enables clients and providers to structure work and payments using milestones.

The contract for services is directly between the client and the provider. Slate is not a party to that contract.

Slate does not provide escrow, safeguarding, or financial services.

4. Payments and Stripe

Payments on Slate are processed using Stripe.

When a client funds a milestone:

  • payment is collected via Stripe
  • funds are held within the Stripe platform

Slate does not take custody of funds or operate safeguarded accounts.

Slate provides the system through which payment instructions, including transfers and refunds, are created and sent to Stripe based on:

  • milestone status
  • user actions
  • platform rules defined in these Terms

By using payment features, you agree that your data may be processed by Stripe in accordance with Stripe's Privacy Policy: https://stripe.com/privacy

5. Fees

Slate charges fees per milestone:

  • Client fee — calculated on the full milestone amount at funding
  • Provider fee — calculated on the amount released to the provider

Fees are split between client and provider.

  • Full refund — client fee refunded
  • Partial refund — client fee prorated
  • Provider fee applies only to released amounts

6. Milestone lifecycle

Funding

The client funds a milestone via Stripe.

Submission

The provider submits work.

Review window (5 days)

Client may:

  • Approve — payment instruction sent
  • Request changes
  • Open an issue

Auto-release

If no action is taken within 5 days, payment is automatically released.

7. Issues

If a client does not accept submitted work, they may open an issue.

During an issue:

  • payment instructions are not sent
  • both parties may submit information and propose outcomes

Users may:

  • agree a resolution
  • propose partial splits
  • accept or reject offers

If no agreement is reached, outcomes are automatically applied based on predefined platform rules, the selected issue type, and recorded milestone activity.

These outcomes determine the payment instructions sent to Stripe.

Slate does not make subjective determinations about quality or fairness.

8. Inactivity and unresolved states

If a milestone remains unresolved for a prolonged period, Slate may automatically determine a final outcome in accordance with platform rules to ensure funds are processed within required time limits.

9. Refunds and cancellations

Funded milestones cannot be cancelled outside of the issue process.

Refunds after funding are only available through the issue system.

10. Provider payout

Providers must complete onboarding with Stripe.

Slate does not hold or distribute funds directly.

All transfers are executed via Stripe based on platform instructions.

11. Prohibited conduct

Users must not:

  • use the platform unlawfully
  • bypass platform payments
  • submit false information
  • abuse the system

12. Limitation of liability

Slate acts solely as a platform provider.

We do not guarantee:

  • work quality
  • completion
  • outcomes between users

We are not liable for indirect or consequential losses.

13. Termination

Accounts may be suspended or terminated for breaches.

Active milestones must complete their lifecycle.

14. Governing law

These Terms are governed by the laws of England and Wales.

15. Changes

We may update these Terms. Continued use constitutes acceptance.
